The following describes the terms on which Cydle offers you access to our services.
General Terms and Conditions for Online Sales
Regarding the sale of products manufactured by Cydle
Kofomo Tower, 16-3, Sunae-Dong, Bundang-Gu, Sungnam-City, Kyonggi-Do, Republic of Korea

1. Scope
1-1.These General Terms and Conditions shall apply to all agreements between the customer and Cydle regarding the sale of products manufactured by Cydle in their current version at the time of agreement.
1-2. This General Terms and Conditions of Cydle shall apply to the exclusion of all other terms and conditions. Terms and conditions of the customer that contradict or deviate from these General Terms and Conditions will not be recognized unless Cydle has agreed thereto in express terms in a specific case.
2. Orders
2-1. Cydle offer product for sale. Customers can order products over the Internet. When ordering over the Internet, customer can download respective software product. Cydle do not deliver products on a data carrier (Compact Disk or SD card).
3. Price and payment
3-1. Sales prices indicated on the website are including VAT. Prices are subject to change at any time but will not affect purchase order made prior to the date of the change. All payment must be paid for through the payment service as made available by Cydle (“Paypal”).
3-2. Cydle shall strive to ensure the availability of all the software products purchased on its Internet pages. Cydle shall inform customers immediately if a product is not available and shall immediately refund any payments that the customer has already made.
4. Retention of Title
4-1. Ownership of products and any rights to use the products shall be passed directly from Cydle to the customer. Products shall remain the sole property of Cydle until such time as all invoices from the corresponding contract of sale have been paid full. If the customer fails to meet his payment obligations despite a reminder, Cydle shall be entitled to withdraw from the contract after a reasonable period of notice set previously and to request the return of the corresponding products. If products are recalled in this way, this shall constitute withdrawal from the contract.
The customer shall only be permitted to use the software products after
full settlement of all outstanding invoices from the corresponding
contract sale.
4-2. With respect to the licensing of download software, the risk shall pass to the customer once the product is handed to the customer when software leaves Cydle sphere of influence (i.e. its server).
5. Right of Use
Cydle grants rights of use license with respect to the Software
products to the customer directly. The customer is also given the
chance to view these rights when downloading the software products.
6. Liability for Material Defects
6-1. All products specifications, image and information that we provide on the Internet at http://www.cydle.com or elsewhere are intended for illustration purposes only. The properties of the featured software products are based exclusively in the specifications and documentation provided by Cydle.
6-2. Cydle shall rectify any material defects by way of subsequent performance within a reasonable period of time. At the discretion of Cydle, this may be achieved by eliminating the defect (repair) or by supplying a product free of defects (replacement). If subsequent performance fails or is unreasonable from the point of view of the customer or is refused by Cydle, or if it is justified for any other reasons after weighing up the interests of both parties, the customer shall be entitled to withdraw from the contract or to a reduction in price without prejudice to any other claims for damages. However, the customer shall not be entitled to withdraw from the contract if the material defect is merely a minor one.
7. License, Copyright & Confidentiality
7-1. Customer is granted a license to use the software and/or data, information, functionality or other content obtained through the Service for personal use only on the term set out in this clause (“License”). Customer may install the Software and use the content on only one computer or Hardware device at any time and in combination with only one navigation system. Customer may not provide the Software or Content to others, directly or indirectly for their or anyone else’s use. This License is non- exclusive and non- transferable, which means that Cydle is free to license the Software and Content to other customers and that your right to use the Software and Content cannot be transferred by you to someone else.
7-2. Cydle reserves the right, with or without notice, to discontinue update, upgrade and supplement services provided to you or made available to you through the use of the Software or Content, unless the provision of such updates, upgrade or supplements forms an integral part of the Products, as indicated by Cydle at the time of sale
7-3. Copyright and other intellectual, industrial and proprietary right to the Software, to the Content, and to any copies made of it are owned by Cydle. Cydle permits you to use the Software and Content only in accordance with these Terms and Conditions. All rights not specifically granted in these Terms and Conditions are reserved by Cydle.
8. Personal Data
8-1. Cydle shall protect and treat as confidential all personal data with Data Protection Act of Republic of Korea. Cydle shall collect, process and use any personal data received from the customer solely for the purpose of executing the contract.
8-2. Cydle shall disclose personal customer data and other information to its sub-service providers only to the extent that such information necessary for technical support and service.
9. Governing Law
The United Nations Convention on Contracts for the International Sales of Goods is hereby excluded from application to these Terms and Conditions. All disputes arising out of these Terms and Conditions shall be settled by the court of the place where you have legal domicile or are in residence, which will have exclusive jurisdiction in respect if of any such disputes.
